These Terms of Service ("Terms") govern your access to and use of PCBRacks.com, operated by Eddisync Solutions LLC, a California limited liability company, located in California, United States. By accessing this website, creating an account, placing an order, submitting any form, or engaging in any transaction with PCBRacks.com, you agree to be bound by these Terms in their entirety. If you do not agree to these Terms, do not use this website or place any orders. These Terms apply to all visitors, buyers, distributors, resellers, and any other users of this website.
2Eligibility
PCBRacks.com products and services are intended for business use only. By placing an order or creating an account, you represent and warrant that you are at least 18 years of age, that you have the legal authority to bind the company or entity on whose behalf you are purchasing, and that all information you provide is accurate and complete. PCBRacks.com reserves the right to refuse service to any individual or entity at its sole discretion.
3Account registration
Certain features of PCBRacks.com may require account registration. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify PCBRacks.com immediately at info@pcbracks.com if you become aware of any unauthorized use of your account. PCBRacks.com is not liable for any loss or damage arising from unauthorized access to your account. PCBRacks.com reserves the right to suspend or terminate any account at any time, for any reason, without prior notice.
4Products and descriptions
PCBRacks.com makes reasonable efforts to ensure that product descriptions, specifications, images, and pricing on this website are accurate. However, we do not warrant that product descriptions or other content on this website are error-free, complete, or current. If a product you receive does not match its description, your sole remedy is as described in our Returns and Warranty Policy. Colors, dimensions, and appearances shown on the website may vary slightly due to photography, monitor settings, and manufacturing tolerances. Minor variations do not constitute a defect and are not grounds for return, exchange, or refund.
5Pricing
All prices on PCBRacks.com are listed in US dollars. Prices are subject to change without prior notice. The price in effect at the time of order placement governs that transaction. PCBRacks.com reserves the right to correct pricing errors at any time, including after an order has been placed. If a pricing error is identified, PCBRacks.com will notify the buyer and offer the option to proceed at the corrected price or cancel the order. Pricing errors do not obligate PCBRacks.com to fulfill any order at an incorrect price.
6Orders and order acceptance
Placing an order on PCBRacks.com constitutes an offer to purchase, not a binding contract. PCBRacks.com reserves the right to accept, decline, or cancel any order at any time, for any reason, including but not limited to product availability, pricing errors, suspected fraud, or inability to verify buyer information. An order is not considered accepted until PCBRacks.com issues an order confirmation email. Order confirmation does not guarantee shipment. PCBRacks.com reserves the right to cancel confirmed orders if product availability changes, payment cannot be verified, or the order violates these Terms.
7Payment terms
Payment is due at the time of order placement unless NET 30 terms have been approved in writing by PCBRacks.com. NET 30 terms are available for returning customers only, are subject to credit approval at PCBRacks.com's sole discretion, and may be revoked at any time without prior notice. All invoices are due in accordance with the payment terms stated on the invoice. Late payments are subject to a finance charge of 1.5% per month on the outstanding balance. PCBRacks.com reserves the right to suspend or cancel any open or future orders if any invoice is past due. Buyer is responsible for all costs incurred by PCBRacks.com in the collection of past-due amounts, including reasonable attorneys' fees, court costs, and collection agency fees.
8Taxes, duties and import fees
All prices are exclusive of taxes. Buyer is solely responsible for all applicable sales tax, use tax, VAT, customs duties, import fees, brokerage charges, and any other governmental charges associated with the purchase, import, or use of PCBRacks.com products. PCBRacks.com will collect sales tax where legally required. Tax-exempt buyers must provide a valid exemption certificate prior to order placement. Orders placed without a valid certificate on file will be charged applicable taxes. Tax exemption certificates submitted after an order has been invoiced will not be applied retroactively.
9Shipping and delivery
All orders ship under EXW (Ex Works) terms from our facility in California unless otherwise agreed in writing. Title and risk of loss transfer to the buyer at the point of pickup from our facility. PCBRacks.com is not liable for damage, loss, or delay occurring during transit. For shipments arranged and prepaid through PCBRacks.com at checkout, PCBRacks.com will file the carrier claim and repair or replace items confirmed damaged in transit when reported per the Warranty and Claims policy. For freight-collect or buyer-arranged shipments, buyer is responsible for filing claims directly with the freight carrier for any shipping damage. PCBRacks.com will, at its discretion, assist with carrier claims documentation but assumes no financial responsibility. Buyer is solely responsible for selecting adequate shipping insurance. Delivery dates and transit times are estimates only and are not guaranteed. PCBRacks.com is not liable for delays caused by carriers, weather, customs, or any other factor outside our control.
10Order cancellations
Rack orders that have already shipped cannot be cancelled. Depaneling equipment orders may be cancelled only if production has not yet begun. If production has started, a cancellation fee of 25% of the order total will apply. PCBRacks.com will confirm production status in writing upon receipt of a cancellation request. Cancellation requests must be submitted in writing to info@pcbracks.com. Verbal cancellations are not accepted.
11Returns, exchanges and warranty
All returns, exchanges, and warranty claims are governed by our Returns and Warranty Policy, which is incorporated into these Terms by reference. By placing an order, you acknowledge that you have read and agree to the Returns and Warranty Policy as posted on PCBRacks.com at the time of purchase.
12Inspection and acceptance
Buyer is responsible for inspecting all goods immediately upon receipt. Any damage, shortage, or discrepancy must be reported in writing to info@pcbracks.com within 48 hours of delivery with photographic evidence. Claims submitted after 48 hours will not be honored. Signing for a delivery without noting visible damage on the carrier's bill of lading constitutes acceptance of the shipment in good condition. Buyer must retain all original packaging materials until the 48-hour inspection window has closed. Disposal of packaging before that period voids any damage claim.
13Product use, suitability and compliance
PCBRacks.com products are designed for general PCB handling, storage, and depaneling applications. Buyer is solely responsible for determining whether any product is suitable for buyer's specific application, environment, and regulatory requirements. PCBRacks.com makes no representation that its products meet the specific compliance, certification, or regulatory requirements of buyer's industry or end customer, including but not limited to IPC, ISO, ITAR, RoHS, REACH, UL, CE, or any other industry or governmental standard. Any technical guidance provided by PCBRacks.com is informational only and does not constitute engineering advice, certification, or a guarantee of fitness for a particular purpose. Buyer shall not represent to any third party that PCBRacks.com products carry any certification or compliance status unless expressly stated in writing by PCBRacks.com.
14Process outcomes, operator error and misuse
PCBRacks.com products are passive handling and cutting equipment operated entirely inside the buyer's facility, by the buyer's personnel, under the buyer's process control. PCBRacks.com has no visibility into, and no control over, the buyer's production environment, operators, process parameters, or the boards and assemblies the buyer runs.
Buyer assumes sole and complete responsibility for: selecting the correct product and temperature class for the application; operator training and supervision; loading, unloading, and handling practices; compliance with the buyer's own ESD control program (ANSI/ESD S20.20 or equivalent); machine setup, guarding, and safe operation; blade selection, adjustment, and replacement intervals on depaneling equipment; and every production outcome achieved with the products.
PCBRacks.com is not responsible or liable for any production mistake, scrapped boards, damaged components, failed assemblies, missed shipments, or any other loss occurring in the buyer's operation, whether attributed to product selection, product condition, operator error, worn parts that were not replaced, or any other cause. A product that is used outside its published specifications, used for a purpose it was not designed for, or modified in any way is used entirely at the buyer's risk, and all warranties on that product are void.
15Website content and AI assistant
Specifications, guides, comparison tables, and the "Ask the guru" assistant on this website are provided for general information only. The assistant is an automated tool and its answers may be incomplete or incorrect. Content on this website does not constitute engineering advice and is not a promise about how any product will perform in your process. Before ordering, verify critical dimensions, temperature ratings, and compatibility against the official product datasheet or by contacting info@pcbracks.com. PCBRacks.com is not liable for decisions made in reliance on website content or assistant answers.
16Product recalls
In the unlikely event of a product recall, PCBRacks.com will notify affected buyers in writing with recall details and instructions. PCBRacks.com's liability in a recall is limited to repair, replacement, or credit for the recalled product at PCBRacks.com's sole discretion. PCBRacks.com is not responsible for costs incurred by the buyer or buyer's customers in connection with a recall, including but not limited to labor, downtime, shipping, rework, notification costs, or penalties imposed by regulatory agencies.
17Product discontinuation
PCBRacks.com reserves the right to discontinue any product at any time without prior notice. Discontinued products will be fulfilled on existing confirmed orders to the extent inventory permits. PCBRacks.com is not obligated to provide replacement products, substitute products, or ongoing spare parts availability for discontinued items.
18Distributor and reseller terms
Approved distributors and resellers are subject to additional terms as outlined in their distributor agreement. Distributor status is granted at PCBRacks.com's sole discretion and may be revoked at any time. Distributors may not alter, rebrand, relabel, repackage, or modify any PCBRacks.com product without prior written consent. Distributors may not make any claims, warranties, or representations about PCBRacks.com products beyond those expressly authorized in writing by PCBRacks.com. Violation of any distributor term is grounds for immediate termination of the distributor relationship and revocation of any special pricing.
19Confidentiality of pricing
All pricing, discount structures, and commercial terms provided by PCBRacks.com to any buyer or distributor are confidential. Buyer shall not disclose PCBRacks.com pricing to any third party without prior written consent. Violation of this provision may result in termination of buyer's account and revocation of any special pricing arrangements.
20Intellectual property
All content on PCBRacks.com, including but not limited to product names, product designs, product images, logos, website design, text, graphics, and marketing materials, is the property of Eddisync Solutions LLC and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, modify, display, or create derivative works from any content on this website without prior written consent from PCBRacks.com. Unauthorized use of PCBRacks.com intellectual property will result in immediate termination of any business relationship and may result in legal action.
21User-submitted content
By submitting any content to PCBRacks.com, including but not limited to reviews, testimonials, feedback, photos, or communications, you grant Eddisync Solutions LLC a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, reproduce, modify, adapt, publish, display, and distribute that content for any business purpose. You represent that any content you submit is accurate, does not violate any third party's rights, and does not contain unlawful material.
22Prohibited uses
You agree not to use PCBRacks.com for any unlawful purpose or in any way that could damage, disable, overburden, or impair the website. Prohibited activities include but are not limited to: attempting to gain unauthorized access to any part of the website, using automated tools to scrape or extract data, interfering with other users' access, transmitting malware or harmful code, misrepresenting your identity or affiliation, using the website to collect personal information of others, and placing fraudulent orders.
23Export controls and sanctions
Buyer agrees to comply with all applicable export control laws and regulations, including but not limited to US Export Administration Regulations (EAR) and Office of Foreign Assets Control (OFAC) sanctions. Buyer shall not export, re-export, or transfer PCBRacks.com products to any country, entity, or individual prohibited under applicable law. Buyer is solely responsible for obtaining any required export licenses. Violation of this provision constitutes a material breach of these Terms and grounds for immediate order cancellation and account termination.
24Limitation of liability
Under no circumstances shall PCBRacks.com or Eddisync Solutions LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of production, cost of substitute goods, cost of rework, damage to buyer's end product, damage to buyer's customer relationships, personal injury claims arising from product use, or any other commercial or economic loss, regardless of whether PCBRacks.com has been advised of the possibility of such damages.
PCBRacks.com's total aggregate liability for any and all claims arising from any single order shall not exceed the purchase price of the specific product(s) giving rise to the claim. This limitation applies regardless of the legal theory under which liability is asserted, including contract, tort, negligence, strict liability, or otherwise.
25Indemnification
Buyer agrees to indemnify, defend, and hold harmless Eddisync Solutions LLC, its owners, officers, employees, agents, and suppliers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to buyer's use, storage, resale, modification, or distribution of PCBRacks.com products, buyer's violation of these Terms, buyer's failure to follow product specifications or the operation manual, claims arising from buyer's marketing representations about PCBRacks.com products that were not authorized in writing by PCBRacks.com, and any claims brought by buyer's customers or end users.
26Disclaimer of warranties
All products sold by PCBRacks.com are provided "as is" and "as available." To the fullest extent permitted by applicable law, PCBRacks.com disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. PCBRacks.com does not warrant that products will meet buyer's specific requirements, that products will be uninterrupted or error-free, or that any defects will be corrected. The sole and exclusive warranty for any PCBRacks.com product is as described in the Returns and Warranty Policy.
27Force majeure
PCBRacks.com shall not be held liable for delays or failure to perform due to causes beyond its reasonable control, including but not limited to natural disasters, pandemics, epidemics, government actions, trade restrictions, tariffs, embargoes, sanctions, supplier delays, raw material shortages, labor disputes, shipping carrier delays, cyberattacks, utility failures, war, or acts of terrorism. In the event of a force majeure, delivery timelines will be extended by a period equal to the duration of the delay. If a force majeure event exceeds 90 calendar days, either party may cancel the affected order without penalty.
28Chargebacks and payment disputes
Chargebacks or payment disputes filed with a credit card company or financial institution without first contacting info@pcbracks.com and allowing 10 business days to resolve the issue will result in permanent suspension of the buyer's account, forfeiture of any pending orders, and collection action for the full outstanding balance plus all associated fees and costs.
29No agency or partnership
Nothing in these Terms or in any transaction with PCBRacks.com creates a partnership, joint venture, agency, or employment relationship between Eddisync Solutions LLC and the buyer. Buyer has no authority to make commitments, representations, or obligations on behalf of PCBRacks.com.
30Dispute resolution and governing law
These Terms and all transactions with PCBRacks.com are governed by the laws of the State of California without regard to its conflict of laws provisions. Any dispute arising from or related to these Terms or any order shall first be attempted to be resolved through good faith negotiation. If unresolved within 30 calendar days, the dispute shall be submitted to binding arbitration in Sacramento County, California, administered under the rules of the American Arbitration Association. Each party shall bear its own costs and attorneys' fees unless the arbitrator determines otherwise. Buyer waives any right to participate in a class action lawsuit or class-wide arbitration against PCBRacks.com or Eddisync Solutions LLC. Buyer agrees that any legal action must be commenced within one year from the date the cause of action arose. Claims filed after this period are permanently barred.
31Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
32Entire agreement
These Terms, together with the Returns and Warranty Policy, Privacy Policy, any purchase order confirmation, and any written agreement executed between PCBRacks.com and the buyer, constitute the entire agreement between the parties. Any conflicting terms on buyer's purchase orders, terms and conditions, or other documents are hereby rejected unless expressly accepted in writing by PCBRacks.com. Pre-printed terms on buyer's purchase orders do not apply and are not binding on PCBRacks.com regardless of whether PCBRacks.com signs or acknowledges the purchase order.
33Modifications to these Terms
PCBRacks.com reserves the right to update, modify, or replace these Terms at any time without prior notice. Changes will be posted on this page with an updated "Last Updated" date. The version in effect at the time of order placement governs that transaction. Your continued use of the website after any changes constitutes your acceptance of the revised Terms.
